ACCEPTANCE OF TERMS

By engaging with AM Digital Solutions LLC ("Agency," "we," "us," or "our") for website development and related services, you ("Client" or "you") agree to be legally bound by:

These Terms and Conditions;
LeadShifter's Terms and Conditions - https://leadshifter.com/termsconditions; and
Any policies, guidelines, or updates communicated to you.

Acceptance occurs through any of the following actions:

Explicit Agreement: Clicking "I Agree," checking a box, or signing an agreement/contract.
Conduct: Using our services, making payments, accessing your account, uploading content, or modifying your website.
Inaction: Failing to cancel your subscription within 14 days of being notified of updated Terms.
Post-Termination Access: Logging into your account or using services after termination or suspension.

By continuing to use our services, you confirm:

You have read, understood, and agreed to AM Digital Solutions Terms & Conditions, Privacy Policy, and Cookies Policy.
You have read, understood, and agreed to LeadShifter App Terms & Conditions and Messaging Policy.
You are legally authorized to accept these Terms on behalf of yourself or your organization.

SERVICES PROVIDED
We provide website design, development, hosting, maintenance, and updates through the LeadShifter Platform, a system owned and operated by AM Digital Solutions LLC. Services are subscription-based and require timely payment to maintain access. Additionally, we may offer other digital marketing services, including but not limited to paid advertising, conversion-optimized sales funnels, targeted lead generation strategies, CRM integration, search engine optimization (SEO), and professional logo design. These services are designed to align with each client’s unique business objectives and industry-specific needs.

PAYMENT TERMS

3.1 Subscription Fees

- Fees are billed monthly or annually, and automatically renew unless canceled in writing with 30 days' notice.

- Late payments exceeding 7 days will result in immediate suspension of services and website access.

3.2 Client Control Over Payments

Your Rights: You retain the right to manage payment methods, update billing details, and make decisions about your subscription (e.g., upgrading, downgrading, or canceling services).

Consequences of Decisions: Exercising these rights (including cancellation) does not override the forfeiture terms in Section 3.3.

3.3 Forfeiture of Rights

Cancellation or Non-Payment: If you cancel your subscription or fail to pay fees, you forfeit all rights to the website, its content, and any domain name(s) managed by us.

No Refunds or Recovery: No refunds are provided for partial billing periods. We are not obligated to retain or grant access to content, data, or files after termination.

PLATFORM RESTRICTIONS
4.1 LeadShifter Platform
- Your website is hosted and managed exclusively on the LeadShifter Platform.
- Non-Transferability: The website cannot be migrated to another provider. If you switch providers, the new provider must rebuild the website independently.
- Third-Party Terms: LeadShifter's Terms and Conditions are incorporated into this agreement.

INTELLECTUAL PROPERTY

Our Ownership: All design elements, templates, tools, and platform infrastructure remain the exclusive property of AM Digital Solutions LLC.

Client Content: You grant us a non-exclusive, royalty-free license to use, display, and host your content. This license terminates upon forfeiture (Section 3.3), and you relinquish ownership of content if payments lapse.

TERMINATION

6.1 By Client

You may cancel services with 30 days' written notice. Upon cancellation, all access is revoked, and content is forfeited (Section 3.3).

6.2 By AM Digital Solutions LLC

We reserve the right to terminate services for non-payment, breach of these Terms, or illegal activity.

DISCLAIMERS & LIMITATIONS
"As Is" Service: Websites and any digital marketing services are provided on an "as is" and "as available" basis. We make no guarantees regarding uptime, availability, or performance of the services.
No Liability for Third-Party Services: We integrate third-party services, including but not limited to domain registrars, hosting providers, analytics tools, and ad platforms. We are not responsible for any downtime, changes, or disruptions caused by these third-party providers.
Service Interruptions & Maintenance: We may need to perform scheduled or emergency maintenance, during which services may be temporarily unavailable. We will make reasonable efforts to notify clients of major service interruptions.
Results Not Guaranteed: While we strive to optimize websites, SEO, and/or advertising campaigns, we do not guarantee specific rankings, lead generation results, or return on investment (ROI) from digital marketing efforts.
Content Responsibility: The client is responsible for ensuring that all provided content, including text, images, and media, does not infringe on intellectual property rights, violate laws, or contain misleading information. We are not liable for legal claims related to the content.
No Liability for Indirect Damages: We are not liable for any indirect, incidental, or consequential damages, including but not limited to loss of revenue, data loss, business interruptions, or reputational harm.
Security Limitations: While we implement security measures to protect client websites, we do not guarantee immunity from cyber threats, hacking, or data breaches. Clients are encouraged to take additional security measures as needed.

GOVERNING LAW
These Legal Terms and your use of the Services are governed by and construed in accordance with the laws of the State of New Jersey applicable to agreements made and to be entirely performed within the State of New Jersey, without regard to its conflict of law principles.
